Jesse “The Body” Ventura On Bin Laden, 9/11 and more - May 2011

Wrestling Media Blog

The man is no stranger to controversy. Media Man, newsrooms around the world... from Bondi Beach to New York...Mexico, the Wrestling News Media outfit and friends have followed his exploits in and out of the wrestling ring and political arena for decades. Many call him a living legend and a true American hero. Meet Jesse 'The Body' Ventura, aka 'The Mind'.

It's been suggested that the last thing Osama Bin Laden saw was what Jesse Ventura used to be...one of the Navy Seals from the U.S.

Navy Seals by default need to be able to fight, having got some of the best hand-to-hand combat available in the United States we understand.

How would have Ventura faired in a real fight about a Brock Lesner, Dan Severn, Frank Mir or even Kurt Angle? We will never know, but leaks say Ventura was and is one hell of a tough S.O.B.

Ventura is not only a former Navy Seal, officially known as a Naval Underwater Demolitions team (UDT) member , the precursor to the "Seals".

It would be been interesting to see Ventura fight MMA - UFC - no holds barred style in his prime. In the pro wrestling with his time at AWA and the old WWF, it seemed apparent he was a tough dude, but his style of pro wrestling made it difficult to see just how tough he may have been for real. How about his wrestling exploits with Rowdy Roddy Piper, Randy "Macho Man" Savage, Hulk Hogan, the late Adrian Adonis and WWE head honcho, Vince McMahon - the stuff of wrestling folk law.

It's hard not to dig Ventura's real life rock n roll wrestling connection, being a former bodyguard for The Rolling Stones, pro wrestling champion, ex-Governor Of Minnesota, TV talk show host and now, he’s a well-respected and best selling author with some extremely controversial things to say about the U.S government.

If you haven't done so already, grab yourself a copy of his latest book '63 Documents the Government Doesn't Want You to Read'. He gives his take on what he believes really happened before, during and after 9/11.

It's hard not to dig Ventura's movies like 'The Running Man' and who can forget 'Predator', where he played opposite Arnold Schwarzenegger.

The world awaits to see if Ventura will run for President, perhaps with Schwarzenegger as Vice... no, not that sort of vice friends. For a while it looked like Donald 'The Don' Trump was heading for that big white office in Washington, only just deciding to opt out of the presidential race.

Of course, Ventura might like to just jump back into corporate sports endorsements and the like, ala WWE, UFC and maybe even a bit of gaming and sports betting.

A few things are for sure. He will keep 'em guessing and we'll be hearing lots more from one of America's most powerful pens and voices.

ENDEAVOR ANNOUNCES UFC® AND WWE® TO FORM A $21+ BILLION GLOBAL LIVE SPORTS AND ENTERTAINMENT COMPANY

April 3, 2023

New, Publicly Listed Company to be 51% Owned by Endeavor and 49% by Existing WWE Shareholders

Endeavor to Contribute UFC into Company at Enterprise Value of $12.1 Billion

BEVERLY HILLS, Calif. and STAMFORD, Conn. (April 3, 2023) – Endeavor Group Holdings, Inc. (NYSE: EDR) (“Endeavor”) and World Wrestling Entertainment, Inc. (NYSE: WWE) (“WWE”) today announced that they have signed a definitive agreement to form a new, publicly listed company consisting of two iconic, complementary, global sports and entertainment brands: UFC and WWE. Upon close, Endeavor will hold a 51% controlling interest in the new company and existing WWE shareholders will hold a 49% interest in the new company.

Together, UFC and WWE will have global reach, impressive scale and omnichannel distribution. On a combined 2022 fiscal year-end basis, UFC and WWE achieved revenue of $2.4 billion and a 10% annual revenue growth rate since 2019.

“This is a rare opportunity to create a global live sports and entertainment pureplay built for where the industry is headed,” said Ariel Emanuel, CEO of Endeavor. “For decades, Vince and his team have demonstrated an incredible track record of innovation and shareholder value creation, and we are confident that Endeavor can deliver significant additional value for shareholders by bringing UFC and WWE together.”

“Given the incredible work that Ari and Endeavor have done to grow the UFC brand – nearly doubling its revenue over the past seven years – and the immense success we’ve already had in partnering with their team on a number of ventures, I believe that this is without a doubt the best outcome for our shareholders and other stakeholders,” said Vincent K. McMahon, Executive Chairman of WWE.

McMahon continued, “Together, we will be a $21+ billion live sports and entertainment powerhouse with a collective fanbase of more than a billion people and an exciting growth opportunity. The new company will be well positioned to maximize the value of our combined media rights, enhance sponsorship monetization, develop new forms of content and pursue other strategic mergers and acquisitions to further bolster our strong stable of brands. I, along with the current WWE management team, look forward to working closely with Ari and the Endeavor and UFC teams to take the businesses to the next level.”

The new company will be led by Emanuel (Chief Executive Officer), who will also continue in his role as Chief Executive Officer of Endeavor, McMahon (Executive Chairman of the Board) and Mark Shapiro, who will be President and Chief Operating Officer of both Endeavor and the new company. Dana White will continue in his role as President of UFC and Nick Khan will serve as President of WWE. The Board of Directors will consist of 11 members who will be appointed at a later date, six of whom will be appointed by Endeavor and five of whom by WWE.

Together, UFC and WWE expect to deliver an estimated $50 million to $100 million in annualized run rate cost synergies by leveraging, among other things, Endeavor’s back office and robust infrastructure. Endeavor also expects significant growth across revenue areas including domestic and international media rights, ticket sales and yield optimization, event operations, sponsorship, licensing and premium hospitality. Endeavor’s success at UFC, including increasing commercial opportunities that have driven more than 2x Adjusted EBITDA growth since its acquisition in late 2016, demonstrates the significant value creation opportunity and upside potential of having UFC and WWE under one roof.

Transaction Details and Approvals

The transaction values UFC at an enterprise value of $12.1 billion and WWE at an enterprise value of $9.3 billion. The transaction represents a contribution price of WWE of approximately $106 per share (before any post-closing dividend). Additionally, UFC and WWE will each contribute cash to the new company so that it holds approximately $150 million. At closing, Endeavor intends to sweep all excess cash at UFC, and shareholders of the new company (other than Endeavor) are expected to receive a post-closing dividend.

Under the terms of the transaction, existing WWE shareholders will roll all existing equity into the new entity that will be the parent company of UFC and WWE (“NewCo” until it is named at a later date) and intends to list on the New York Stock Exchange under the ticker symbol “TKO”. The listing of NewCo will expand the collective investor base to allow for broad market participation across Endeavor and NewCo.

The transaction has been unanimously approved by the Executive Committee of the Board of Directors of Endeavor and by the Board of Directors of WWE. The transaction is subject to the satisfaction of customary closing conditions, including receipt of required regulatory approvals. The transaction is expected to close in the second half of 2023.

This marks the successful conclusion of WWE’s strategic alternatives review process. WWE embarked on this process to take advantage of the company’s unique position in the entertainment ecosystem as well as the inflection point coming with its media rights renewals, both of which were widely recognized in the marketplace through this process.

Advisors

Morgan Stanley & Co. LLC and Goldman Sachs & Co. LLC are serving as financial advisors to Endeavor, and Latham & Watkins LLP is serving as legal advisor to Endeavor. The Raine Group is acting as lead financial advisor to WWE. J.P. Morgan and Moelis & Company LLC are also acting as financial advisors to WWE. The Raine Group, J.P. Morgan, and Moelis & Company LLC each rendered fairness opinions to the Board of Directors of WWE. Paul, Weiss, Rifkind, Wharton & Garrison LLP is serving as legal advisor to WWE, and Kirkland & Ellis LLP is serving as legal advisor to WWE’s controlling stockholder, McMahon.

Webcast

Endeavor and WWE will make public a recorded audio webcast at 8:00 a.m. ET today discussing this transaction. The event and accompanying presentation materials can be accessed at investor.endeavorco.com or corporate.wwe.com/investors. The link to the webcast, as well as a recording, will also be available on those websites after the call concludes.

Dwayne ‘The Rock’ Johnson Brings His Action-Oriented Brand to TV: New Reality Show 'The Hero' Poised to Premiere in 2013 ...

Likeable action-oriented film star, and wrestler, Dwayne “The Rock” Johnson brings his brand to TV in the TNT reality competition show, “The Hero.” Set to premier in the summer of 2013, “The Hero,” (a working title), pits 10 housemates against one another in missions that will “test their brains, their brawn and even their morality,” TNT says. Johnson will serve as mentor and executive producer along with Dany Garcia, his production partner. The network has ordered eight episodes from Ben Silverman’s multimedia entertainment studio, Electus and 5×5 Media, and the show plans to use social media extensively, seizing on Johnson’s 10 million fans on Facebook, Twitter and YouTube. Viewers will vote each week for the contestant they consider to be the most heroic. “The Rock is the embodiment of ‘The Hero’ and an inspirational superstar with an unwavering moral compass,” said Ben Silverman, founder and chairman of Electus. “‘The Hero’ will deliver on his brand as an incredible action-filled series that test the limits of real people in extraordinary circumstances while also activating the Rock and Turner’s audience with seamless digital and social media tie-ins. “Dany and I couldn’t be more excited to enter into our first official foray in TV production,” said Rock. “The Hero speaks to everything I believe in when it comes to challenging ourselves, to becoming better people every day and to making the right choices while growing from the wrong ones. Bridging the digital and physical world on the small screen in a way that’s never been done before will enable fans to use social media and on-screen decision making to determine the fate of the show’s contestants, and our goal is to make each TV moment impactful and exciting.” The premise of Hero is bringing together ten "ordinary people" in one house and then assigning them "various missions that will test their brains, their brawn, and even their morality." Social media will be a strong component of the show. TNT described the social media aspect. "In a unique twist on the reality-competition format, The Hero will incorporate social media into every facet of the show, from pre-production and casting to on-location shooting and live broadcasts. Through the show’s interactive digital platform, viewers will be able to vote each week for the contestant they consider to be the most heroic. The series will also leverage the power of Johnson’s enormous social-media following, which includes more than 10 million fans through Facebook, Twitter, and YouTube."

Wrestling - Former AEW champion Kenny Omega is 'open to joining WWE when his contract expires', with the popular wrestler full of praise for Triple H and the rival promotion 'willing to do business' - March 2023

Profiles

Wrestling Sports Entertainment Pop Culture Media

Omega has been with AEW since 2019 when the promotion launched

He is a former world champion and currently one third of the trios champions

A move would be a huge move for WWE as they go up against their key rivals

All Elite Wrestling star Kenny Omega is open to joining WWE, according to reports.

The former AEW world champion is set to see his contract with the company expire soon.

Reports suggest his deal was due to be up in January, but due to missing several months through injury, it has seemingly been extended until November.

There have been several suggestions that a deal could be done between WWE and Omega, 39, though a potential agreement is still a way away.

According to Wade Keller of PWTorch, the current AEW trios champion would be open to doing business when his deal with AEW is up.

'I haven't independently verified rumours of WWE being interested in Omega, I have confirmed they're aware of Omega's open-mindedness to come to WWE', Keller said.

'That's what I've been told, that he's open-minded to landing in WWE before his career is over. The attitude is not "I love AEW, I'm gonna stay here forever".

'That is not apparently the belief within WWE. They don't believe that's Kenny's mindset at this point.'

Omega signed with AEW in February 2019, a month after the promotion launched, and is an executive vice president of the company alongside team-mates The Young Bucks.

One of the company's most popular wrestlers, Omega has also featured for New Japan Pro-Wrestling and Ring of Honor among other promotions throughout his career.

In December 2020 he became AEW world champion and held the belt until November 2021.

In 2021, he said on current head of WWE creative Triple H: 'I think HHH is still being one of the boys for the better part of his career.

'I’m sure a big part of how he runs his business, WWE, NXT and all those things he has a finger in, I really do think he does it for the sake of fans as well.'

If he were to join WWE, it's likely his team-mates The Young Bucks would also move with him.

Cody Rhodes, who is also a former executive vice president of AEW, made the move to WWE last year.

WWE Perth: Roger Cook aims to make Perth ‘sports capital of Australia’ with pitch to host WrestleMania (The West Australian)

First it was the UFC – now the McGowan Government wants to bring the world-renowned WWE to Perth to cement WA as “the sports capital of Australia”.

The Sunday Times understands the government is considering a pitch to World Wrestling Entertainment to showcase its fighters in Perth in 2024, with Logan Paul topping the list of wrestlers it wants in the ring at Optus Stadium.

Social Media

Greg Tingle

World class cover and awesome hype. It's just a massive logistical challenge to host a WrestleMania outside the U.S, as much as I love the idea on a personal basis - currently being based in Sydney. Every year the WWE gets numerous enquiries and pitches from cities and counties to host the most prestigious pro wrestling aka sports entertainment show in the world. I love the spirit of the Western Australia government on this, following on from the mega success of UFC 284 in Perth. Just maybe in 3 to 5 years it may be a moderate chance. WWE continues to go global - so, never say never I'm saying. We Tweeted and buzzed this so it's likely WWE' Nick Khan, Triple H and the management powers that be noticed the buzz and firestarter news media by now. Good luck and good hunting. WrestleMania Season is alive and well. Cody Rhodes for the win over Roman Reignsand Rhea Ripley over Charlotte Flair at 'WrestleMania Goes Hollywood' aka WrestleMania 39 in California, USA. WWE is open for business - call them, if you haven't already sport. Wrestling with media!

WWE Perth: All the spandex-lovin’ reactions ahead of Optus Stadium’s potential 2024 event - 19th Feb 2023

By Caleb Runciman and Kellie Balaam

If double-legs and RKOs aren’t your thing, it might be best to vacate the State if Perth secures a WWE event.

As revealed by The Sunday Times, the McGowan Government plans to make Perth “the sports capital of Australia” — motivated by the recent visit of WWE athlete Logan Paul.

Considering a pitch to the World Wrestling Entertainment for a 2024 event at Optus Stadium, minister Roger Cooke said “we all saw how the phenomenal success of the UFC transformed the city last weekend and sold Perth to a global audience”.

“How good was it to have Logan Paul as well doing a quokka selfie for his millions of followers, then talking up how great Perth is on his popular podcast?

“I would love to see Logan back here next year in action with the WWE leaping off the top rope at Optus Stadium in front of tens of thousands of fans,” Mr Cooke said.

Blurring the line between sport and entertainment — WWE is different from the spectacle that was UFC 284 at RAC Arena.

Founded in 1953 under the name Capitol Wrestling Corporation (CWC) by Jess McMahon and Vincent J. McMahon, the franchise has grown to astronomical heights — valued at roughly USD $6.5B.

From its early days as the CWC to the World Wrestling Federation (WWF) in 1980, transitioning to the now-successful World Wrestling Entertainment (WWE) in 2002, the organisation is recognised as the largest professional promotion in the world.

Can Optus Stadium handle the WWE and its craziness?

For opposition leader Libby Mettam, an event like the WWE would be “certainly welcomed” in Perth.

“I look forward to hearing what progress the Minister for Tourism can make in ensuring we get more events such as this into WA to support our small business sector.”

“It’s vitally important that the government back this up by ensuring our small business operators, our city of Perth is well supported to be able to showcase such events,” she said.

Perth punters showed mixed messages towards a proposed WWE event, with many West Aussies making their thoughts clear on pro-wrestling making a WA appearance.

Kicking off a spandex-lovin’ storm on social media, one WWE critic said: “what a ghastly prospect.”

“Not a publicity stunt?” one member of the public asked.

With a display of wrestling athleticism on the cards, many Aussie fans said the visitation would be worthwhile.

“Australia loves us some WWE,” said one social media user.

With a growing pro-wrestling community in WA, local club EPW School of Pro Wrestling director Peter Clark said the 2024 event would be a “fantastic” addition to Australia.

“People suspend their disbelief and draw themselves in... no one does it better than the WWE,” he said.

“There are fireworks, action, and emotional stories, what more could you want?

“It would be fantastic for the wrestling community, people would travel from all around the country.”

With Perth-based athletes Mikey Nichols and Shane Haste kick-starting their WWE careers at EPW, Perth’s “underground” community is expected to show up in full force if the Optus event goes ahead.

On Sunday, a colossal clash at the WWE’s Elimination chamber kicked off in Canada, where athlete Roman Reigns defeated Sami Zayn, paving way for Kevin Owens’ post-match return.
